The following terms and conditions will be deemed to have been accepted by the User on usage of the website https://www.seosemagency.com . You are requested to read them carefully before you use the services of this site.

This Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. By using the Site, you agree to follow and be bound by the following terms and conditions concerning your use of the Site. Seosemagency.com may revise the Terms and Condition at any time without giving any prior notice to you.

The Contract

​

This agreement contained in this Proposal constitutes the sole agreement between Seosemagency.com and its Clients.

​

An independent contractor relationship will be created between the clients and Seosemagency.com, and that no partnership or joint venture is intended or implied by either party. Both parties will agree upon a date of commencement of the services and charges will be applicable according to that date. A monthly report of performance services will be given to the clients. Either party, may not cancel or fully transfer the service responsibilities to another service vendor before a prior notice of at least 7 business days. Seosemagency.com reserves the right to subcontract a third party service provider for some of the service tasks. A person who is not a party to the Contract shall not have any rights under or in connection with it.

Payment

​

If clients avail any monthly packages of Seosemagency.com then they are obliged to pay a full amount prior to the commencement of the work.

​

If the client agree to opt for any packages other than the monthly packages regarding any services then they are liable to pay 50% of the billable amount in advance, prior to the commencement of the work. The remaining 50% of the payment will have to be made within 20 days of the start date of the services. Seosemagency.com will also invoice the clients monthly, in advance.

Also, if the clients do not pay a monthly invoice when it is due, Seosemagency.com will issue a notice by mail/calling within 15 days after the due date if the client fails to clear the dues within these 15 days then Seosemagency.com shall terminate the services immediately. In this case, Seosemagency.com will not be liable to refund the amount already charged for any work done prior to termination of the services.

In addition, any work not specified in the proposal will be estimated separately or would require amendment to this proposal.

​

In the event the client terminates the contract during the course of development / progress phase, Seosemagency.com will not be liable for refund of any payments made prior to the termination of the contract.

 

Liability

​

In no event shall Seosemagency.com be liable for any damages whatsoever, including, but not limited to any direct, consequential, incidental, exemplary, special or other indirect damages arising out of the following:

• The use of or inability to use the site, the services, or the contents,

• Any transaction conducted through or facilitated by the site;

• Any claim attributable to errors, omissions, or other inaccuracies in the site, the services and/or the contents,

• Unauthorized access to or alteration of your transmissions or data, or

• Any other matter relating to the site, the services, or the contents, even if Seosemagency.com has been advised of the possibility of such damages. If you are dissatisfied with the site, the services, the contents, or with the terms and condition, your sole and exclusive remedy is to discontinue using the site.

All the images/ contents etc has to be provided by the client. If in case, the client does not provide Seosemagency.com any images / contents, we assume that, the client has given their express permission to use images from the Internet. Seosemagency.com will try their best to use royalty free images but once delivery is made, it is the responsibility of the client to check and verify the work. In case, if they feel some changes need to be made, they may write us immediately to implement such changes. Once the project/task has been delivered, Seosemagency.com does not accept any liability of copyright infringement/trademark/performance or any legalities raised for any reason. It is advisable to provide the text/images and other contents at the time of contract to ensure the work is done as per the agreement and hassle-free for both of the parties.

Modifications

​

Seosemagency.com may revise and update these Terms and Conditions at any time. Your continued usage of the web site after any changes to these Terms and Conditions will mean you accept those changes. Any aspect of the web site may be changed, supplemented, deleted or updated without notice at the sole discretion of Seosemagency.com. Seosemagency.com may establish or change, at any time, general practices and limits concerning other Seosemagency.com services in its sole discretion.

 

 

Disclaimer of Warranty

The use of this site is at sole risk of the client. All materials, information, and services are provided “as is,” with no warranties or guarantees of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Without limitation, Seosemagency.com makes no warranty or guarantee that this web site will be uninterrupted, timely, secure, or error-free.

 

Waiver

• If at any time during the term of a service contract, Seosemagency.com fails to insist upon the strict performance of any of the clients obligations under the service contract or any of these terms and conditions, then this will not automatically free the client from any of the obligations mentioned in the terms and conditions and will not constitute a waiver.

• Any waiver of Terms and Conditions will be valid officially only if it is communicated to the client through writing.

 

 

Law

​

The laws of India govern this agreement. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Kolkata, India in all disputes arising out of or relating to the use of the site.

​

In case of any legal proceeding, the amount paid will not exceed the amount charged from the client.
